MEMORANDUM OF UNDERSTANDING

(MOU)

Between

And

   This is an agreement between [Nombre de la empresa 1] hereinafter called [Nombre   

   abreviado empresa 1] and [Nombre de la Empresa 2], hereinafter called [Nombre 

   abreviado empresa 2].

   I. PURPOSE & SCOPE

The purpose of this MOU is to establish a basic agreement, to be developed in the future, that regulate the commercial relationships, to be understood under partnership bases between both companies with reference to the commercial activities carried out by [Nombre abreviado empresa 1] in the XXXXXX market (countries to be defined) related to the solutions habitually supplied by [Nombre abreviado empresa 2]

II. BACKGROUND

[Nombre abreviado empresa 1] is an International company that, in addition to other kind of products, manufacture and commercializes xxxxxxxxxxxxxxxxxxxx solutions all over the world.

[Nombre abreviado empresa 2] is an international company specialized in the design and manufacture of xxxxxxxxxxxxxxxxxxxxx systems.  Within this range of products, it is included the product yyyyyyyyyy in which [Nombre abreviado empresa 1] is especially interested.

III. IT IS MUTUALLY UNDERSTOOD AND AGREED BY AND BETWEEN THE PARTIES THAT:

1º)   Taking in account their common interests, both parts wish to collaborate in offering to final customers the best possible products and solutions in terms of performances, quality and prices.

2º)   It is of mutual interest to start negotiations for exploring the possibility of giving from [Nombre abreviado empresa 2] to [Nombre abreviado empresa 1] the category of exclusive solutions distributor for some xxxxxxxxxxx countries.

3º)   Meanwhile, taking in account that [Nombre abreviado empresa 1]  is involved in a very important project in [Country] called “yyyyyyyyyyy”, for which the homologation of the zzzzzzzzzzzz product is required and, as this process will suppose a cost for [Nombre abreviado empresa 1], [Nombre abreviado empresa 2] agrees to give full exclusivity for this project, being this compromise a firm pact of “no aggression”.

4º)  To hold the existence of this agreement under confidentiality, non disclosing  its existence and its contents with third parties without prior authorization of the other part.

  

IV. EFFECTIVE DATE AND SIGNATURE

This MOU shall be effective upon the signature of the parties, by authorized representatives. It shall be in force, at least, from DD/MM/AAAA until same date of the year AAAA. In case an MOA or an Contract is signed by the parties, this document will be automatically deployed.
